Terms of Use

1. Law

These terms and conditions are governed by and will be construed in accordance with the laws of New Zealand and you submit to the jurisdiction of the Courts of New Zealand.

2. Acceptance

Your access to and use of the Woodnetworks Ltd ("Woodnet", "us", "we", or "our") Site ("Site") is subject to the following terms and conditions ("Terms"). By using the Site you represent that you have read, understood and accepted these Terms and agree to be bound by them. Your use of the Site will be deemed to be acceptance by you of these Terms in their entirety.

 

If you do not agree to these Terms, and to be bound by any changes to them in future, please do not use the Site.

 

3. Changes to these Terms

Woodnet reserves the right, at its discretion, to update or revise these Terms. Please check these Terms periodically for changes. Your continued use of the Site following the posting of any changes to the Terms indicates your acceptance of those changes.

 

4. New Zealand Site

This Site and the information on it have been created in New Zealand, although residents of other countries are welcome to visit the Site. Those who choose to access this Site from locations outside New Zealand do so on their own initiative and are responsible for compliance with local laws. New Zealand law governs the Site and all contracts entered into through the Site.

 

5. Intellectual property rights

You acknowledge and agree that all content and materials available on the Site are protected by copyrights, trade marks or other intellectual property rights and laws. No content or material on the Site may be reproduced, adapted, linked to, distributed or used in any way without the prior written consent of Woodnet. However, you may print or download one copy of the materials or content on this Site on any single computer for your personal use, provided you keep intact all copyright and other proprietary notices.

 

6. Links

Woodnet has not reviewed all or any of the Sites linked to the Site and is not responsible for the contents of any of those Sites. Woodnet requests that you obtain permission prior to linking to this Site. Your linking to this Site is at your own risk.

 

7. Weather Information

Weather information is provided for information purposes only. No liability will be accepted by Woodnetworks Ltd for reliance on this information or for any errors, omissions or delays.

 

8. News material

News material on the Site is copyright and belongs to the Company or to its third party news provider, and all rights are reserved. Any User who accesses such material may do so only for its own personal use, and the use of such material is at the sole risk of the User. Redistribution or other commercial exploitation of such news material is expressly prohibited. Where such news material is provided by a third party, each User agrees to observe and be bound by the specific terms of use applying to such news material.

 

9. Disclaimer concerning information and materials

The Site may from time to time contain information or data, including calculation or other routines for use of visitors and Members. Such information is not intended to be a substitute for your own judgement or any advice provided by your own consultants or experts. You should not use the information or data contained in this Site, or use the routines or calculations, unless you have independently evaluated and, where appropriate, concluded, that it is appropriate for your own circumstances.

Any data, information and prices on the Site may be displayed on a delayed basis, and should be updated by clicking the refresh button on your browser.

While Woodnet has endeavoured to ensure that the content and material on the Site is free from error, we do not warrant its accuracy, adequacy or completeness or that it is suitable for your intended use.

 

You shall not post or transmit any unlawful, threatening, libellous, defamatory, obscene, inflammatory, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offence, give rise to civil liability, or would otherwise violate the law.

In particular:

-You must not use the Site to transmit any unsolicited commercial e-mail, unsolicited bulk e-mail or deliberately send very large attachments to one recipient. Activities that have the effect of facilitating unsolicited commercial e-mail or unsolicited bulk e-mail whether or not that e-mail is commercial in nature, are prohibited. In addition, "spamming" or "mailbombing" is also prohibited.

 

-You may not attempt to gain unauthorised access to, or attempt to interfere with or compromise the normal functioning, operation, or security of any network, system, computing facility, equipment, data, or information. You may not use the Site to engage in any activities that may interfere with the ability of others to access or use the Site or the Internet. You may not attempt to gain unauthorised access to the user accounts or passwords or other users.

 

-You may not use the Site to monitor any data, information, or communications on any network or system without authorisation nor collect or attempt to collect, personal information about third parties without their knowledge or consent.

 

-Any use of another party's electronic mail server to relay e-mail without express permission from such other party is prohibited.

You agree to obey the developing rules of Netiquette. These are the general rules of good and considerate behaviour on the Internet as a world wide and open community. Any failure to obey these rules will result in a warning.

 

-If we consider the breach sufficiently serious (at our discretion) you agree that we may disconnect your service without liability to you.

10. Non-availability

This Site may not be continuously available for reasons that may include maintenance or repair.

 

11. No Warranties

Your use of the Site is at your own risk. The materials and information in this Site are provided "as is" and "as available" and without warranties of any kind, either express or implied. To the fullest extent permissible by law, Woodnet disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Woodnet does not warrant that the functions contained in the materials will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components. Woodnet does not warrant or make any representation regarding the use, or the results of the use, of the material in the Site in terms of their correctness, accuracy, sufficiency, reliability, or otherwise.

Under no circumstances, including but not limited to negligence shall, Woodnet be liable for your reliance on any such information nor shall Woodnet be liable for any direct, incidental, special, consequential, indirect or punitive damages that result from the use of, or the inability to use, the materials in this Site or the materials in any sites linked to this Site, even if Woodnet or a Woodnet-authorised representative has been advised of the possibility of such damages.

If you are using this Site for the purposes of a business, then you agree that the provisions of the New Zealand Consumer Guarantees Act 1993 shall not apply to your use of or any reliance on the Site.

 

12. Limitation of liability

We shall not be liable to you for any damage to the Products due to external causes including accident, abuse, misuse, or usage not in accordance with Product instructions.

We shall also not be liable to you for any loss or damages suffered as a result of relying on any information or advice found on this Site, regardless of whether that information or advice is accurate and error-free.

Notwithstanding anything else contained in these Terms of Use, we shall not be liable to you for any indirect, incidental, special, or consequential damages, including without limitation damages for loss of profits or revenue, whether in an action in contract or tort. There may be situations in which you have a right to claim damages or payment from us. Except as otherwise specifically provided in this paragraph, whatever the legal basis for your claim, our aggregate and cumulative liability for direct and proven damages under our Contract with you will in no event exceed the price for the Product paid by you under our Contract.

 

13. Indemnity

You agree to indemnify Woodnet and keep Woodnet fully indemnified against all actions, proceedings, losses, liabilities, damages, claims, demands, costs and expenses suffered or incurred by Woodnet as a result of or in connection with any negligent act or omission of yours or breach of any of these Terms.

 

14. Woodnet Log Notification Board and Classifieds

The Woodnet Log Notification Board and Classifieds is a venue for people to offer items to sell or to solicit offers to buy. Woodnet is not responsible for, and has no control over, the quality, safety, or legality of the items advertised, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to buy items. You are solely responsible for any transaction made between yourself and any other person, and Woodnet shall have no liability or responsibility whatsoever to any person in respect of any transactions entered into as a result of information obtained from the Woodnet site. If any dispute arises between you and another person or party, you agree that the limitations, indemnities and disclaimers set out in these Terms of Use shall apply to the benefit of Woodnet.

In particular, advertisers warrant that the posting of their advertisement on Woodnet's Log Notification Board and Classifieds will not give rise to any claims or liabilities for Woodnet and that nothing in the advertisement is false, inaccurate or misleading, infringes the rights of any person, is in full or in part defamatory, is in breach of copyright, trademark or other intellectual or industrial property rights, or is in breach of the provisions of any statute, regulation or rule of law.

 

Woodnet reserves the right to alter, abbreviate or refuse to post any advertisement received if, in Woodnet's sole opinion, it would be undesirable to post it.   Although Woodnet takes no responsibility for the legitimacy or accuracy of postings on its Site it holds the ability to notify other Users of the Site of any User who is found to be in breach of these terms of use. Any users wishing to report wrong doing by any user of the site can do so in complete confidence by contacting Woodnet at support@woodnet.co.nz

 

15. Woodnet Websites

While Woodnet takes every step to ensure the content shown on Users websites that are provided and hosted by Woodnet do not breach any of the terms of use outlined here especially but not confined to all terms relating to legitimacy and accuracy of information Woodnet shall not be held responsibile for the content and/or use of these websites.
In particular, Users of these websites warrant that the posting of their information on Woodnet's Websites will not give rise to any claims or liabilities for Woodnet and that nothing in that content is false, inaccurate or misleading, infringes the rights of any person, is in full or in part defamatory, is in breach of copyright, trademark or other intellectual or industrial property rights, or is in breach of the provisions of any statute, regulation or rule of law.

16. Security

While we endeavour to keep information and materials on the Site, including those provided by you or on your behalf, secure and confidential, we will not be responsible for any breach of security caused by third parties and do not represent that the Site is completely secure.

 

17. General

This Site may contain links to other sites which are not under the control of Woodnet. These links are provided for your convenience only and Woodnet makes no representations concerning the accuracy of information or the quality of products and services found on any linked site and will not be responsible for any loss or damages suffered as a result of you using any linked sites.

Nothing in this Site is to be construed as a recommendation to use any Product. All information and advice provided on this Site is supplied in good faith but is not guaranteed to be correct or free of errors. All information and advice provided on this Site is supplied upon the condition that you will make your own determination as to its suitability for your purposes prior to use.

 

18. Monitoring.

Woodnet may make available to users of this site e-mail notices, newsletters, chat rooms, message boards, bulletin board services or other interactive communication by means of the Site (collectively, the "Forums"). Woodnet cannot review all communications made on or through the site. However, Woodnet shall have the right, but not the obligation, to monitor the Forums, to determine compliance with these terms and conditions of use, any operating rules established by Woodnet and to satisfy any law, regulation or authorized government request. Woodnet shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on the site. Without limiting the foregoing, Woodnet shall have the right to remove any material that Woodnet, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

 

19. Viruses

Woodnet assumes no responsibility and shall not be liable for any damage to your computer equipment or other property on account of Disabling Devices (as defined below), your access to, use of, or browsing in the site or your downloading of any materials, data, text, images, video, or audio from the site. "Disabling Device" is defined as any software, document, message or other material which contains a computer virus, worm, trojan horse, timebomb or other device which may erase, scramble, lock or disable computer software or equipment or may prevent users from using a website or any other item of hardware or software.

 

20. Woodnet Statement of Privacy

Woodnet Works Limited only collects personal information from a user that is necessary to provide them with a certain level of service through the Site.  When users add their profile to the "Forestry Database" or make additions to any of the information contained within the database, they do so with the understanding that such information is made publicly available to visitors to the Site. Any person or company whose information is stored within the site has the right to inspect, correct, update or delete the personal information we hold about you. This can be done through the tools provided within the Site or by contacting Woodnet at support@woodnet.co.nz
